Afro-Meet Terms of Use (ToU)

1. About these Terms
These Terms of Use (the "Terms") govern access to and use of the services provided by Afro-Meet (the "Platform"). By accessing or using the Platform, you acknowledge that you have read, understood, and accepted these Terms.
If you do not accept these Terms, you must not use the Platform.
1.1 Definitions
- "Services": all features provided by Afro-Meet, including event page/mini-site creation, ticket sales, order management, and related services.
- "Content": any element published by Afro-Meet on the Platform (texts, visuals, logos, interfaces, databases, audio/video elements, etc.).
- "User Content": any content submitted, published, or uploaded by a user through the Services (event descriptions, images, pricing, terms, communications, etc.).
- "Organizer": any individual or legal entity using the Services to create, promote, and/or sell tickets for an event.
- "Consumer": any person purchasing a ticket or registering for an event via the Platform.
- "Afro-Meet", "we", "us", "our": the Afro-Meet Platform, its websites, applications, and the operating entity.
- "Terms": these Terms of Use.

1.3 Additional documents
Depending on how you use the Services, additional documents may apply, including:
- Privacy Policy
- Cookie Statement
- Refund Policy (where applicable)
- Any specific agreement related to paid features or commercial offers (where applicable)
In case of conflict between these Terms and a specific applicable document, the specific document prevails for the relevant subject.
2. Description of the Services
2.1 What Afro-Meet does
Afro-Meet provides an infrastructure enabling Organizers to:
- create event pages/mini-sites (including, depending on the offer, a custom subdomain);
- publish information about their events;
- offer tickets (free or paid);
- collect payments through third-party payment providers;
- manage orders and issue digital tickets.
Afro-Meet acts as a technical platform facilitating the connection between Organizers and Consumers.
2.2 Organizer role and responsibility
The Organizer is solely responsible for their event, including:
- the event's legal compliance (permits, licenses, safety, capacity, insurance, etc.);
- the accuracy, clarity, and updates of the information published (date, venue, program, pricing, access conditions, age restrictions, etc.);
- the quality and proper delivery of the event;
- the relationship with attendees (welcome, ticket checks, communications, etc.).
Afro-Meet does not control and does not guarantee the reality, quality, safety, or legality of events published.
2.3 Payments, providers, and funds flow
Ticket payments may be processed through third-party providers, including PayPal and Stripe.
- Transactions are subject to the terms and policies of those providers.
- Unless stated otherwise, funds are transferred directly to the Organizer according to the selected setup.
The Organizer acknowledges they are responsible for:
- properly configuring their payment accounts;
- invoicing and tax/accounting obligations related to their sales;
- handling disputes (chargebacks, claims, etc.) according to provider rules.
2.4 Orders and confirmation
An order is considered confirmed when:
- payment is validated by the relevant provider (or registration is validated for a free ticket); and
- a confirmation email and/or a digital ticket is issued.
Afro-Meet may refuse, suspend, or cancel an order in case of suspected fraud, obvious error, or breach of these Terms.
2.5 Ticket delivery
Tickets are delivered in digital format (e.g., QR code or identifier) and sent to the email address provided at purchase.
The Consumer is responsible for:
- providing a valid email address;
- checking spam/junk folders;
- keeping the ticket and presenting it on the event day.
3. Acceptable Use Policy (AUP)
3.1 Purpose
This Acceptable Use Policy (the "AUP") defines permitted and prohibited uses of the Platform. It applies to all users (Organizers and Consumers).
3.2 Organizer obligations
The Organizer agrees in particular to:
- publish only legal events and comply with applicable regulations;
- describe the event and tickets accurately, completely, and without misleading statements (price, taxes, schedule, venue, access conditions, etc.);
- respect third-party rights (copyright, trademarks, image rights, personal data);
- obtain all required authorizations (licenses, music rights, venue permissions, etc.);
- handle attendee requests and claims within reasonable timeframes;
- process refunds in accordance with their terms and applicable law.
3.3 Consumer obligations
The Consumer agrees in particular to:
- provide accurate and up-to-date information when purchasing;
- comply with event rules and safety instructions;
- use tickets in accordance with the Organizer's conditions (personal and non-transferable unless stated otherwise).
3.4 Prohibited uses
It is strictly prohibited to use Afro-Meet to:
- sell or promote illegal tickets, events, or activities;
- commit fraud, scams, or payment manipulation;
- impersonate a third party, unlawfully collect data, or attempt unauthorized account access;
- publish hateful, discriminatory, violent, defamatory, obscene, or harassing content;
- infringe intellectual property rights (content, brands, images, music, videos, etc.);
- introduce viruses or malicious scripts, or attempt to disrupt the Platform (e.g., DDoS, unauthorized scraping, security bypass).
3.5 Controls and measures
Afro-Meet may, at its discretion:
- conduct reasonable checks in case of reports or suspicion;
- remove or disable User Content;
- suspend or close an account;
- refuse publication of an event;
- cooperate with competent authorities when legally required.
4. Refunds, cancellations, and disputes
4.1 Principle
Unless stated otherwise, refunds are handled by the Organizer. Afro-Meet is not responsible for refund decisions or the Organizer's commercial policy.
4.2 Event cancellation
If the Organizer cancels an event, they must:
- inform attendees as soon as possible;
- issue refunds where applicable in accordance with their policy and applicable law.
4.3 Disputes and chargebacks
In case of a payment dispute (chargeback) or claim, the Organizer may be required to provide evidence to the payment provider. Afro-Meet may share certain information necessary for dispute processing, in compliance with applicable regulations.
5. Intellectual property
Afro-Meet Content (including the brand, logo, interface, texts, and graphic elements) is protected by intellectual property laws.
Unless authorized in writing, it is prohibited to copy, reproduce, modify, distribute, or exploit all or part of Afro-Meet Content.
The Organizer warrants they hold the necessary rights to any User Content they publish.
6. Data protection
Personal data processing is described in the Privacy Policy. Depending on the situation, Afro-Meet may act as data controller and/or processor.
Each user agrees to comply with applicable data protection laws (including the GDPR where applicable).
7. Availability, security, and service changes
Afro-Meet strives to ensure Platform availability, without guaranteeing uninterrupted access.
We may:
- evolve, modify, or discontinue all or part of the Services;
- perform maintenance (scheduled or not);
- implement security and verification measures.
8. Limitation of liability
To the extent permitted by law:
- Afro-Meet is not responsible for the organization, performance, cancellation, or quality of events.
- Afro-Meet is not responsible for damages resulting from inaccurate information provided by an Organizer.
- Afro-Meet does not guarantee the Platform will meet specific needs or be continuously available.
Nothing in these Terms excludes or limits liability that cannot be excluded by law.
9. Suspension and termination
Afro-Meet may suspend or terminate access to the Services in case of:
- breach of these Terms or the AUP;
- suspected fraud or security risk;
- legal obligation or request from a competent authority.
Users may stop using the Services at any time.
10. Changes to the Terms
Afro-Meet may modify these Terms at any time.
- Material changes will be communicated with reasonable notice (e.g., via the Platform or by email).
- Continued use of the Services after the effective date constitutes acceptance.
11. Governing law and jurisdiction
These Terms are governed by the applicable laws of Germany, subject to mandatory consumer protection rules in the Consumer's country of residence.
In case of dispute, the parties will attempt to find an amicable solution before taking legal action.
